Gogo Grocer Merchant User Agreement

This Merchant User Agreement (“Agreement”) is entered into by and between the merchant (“Merchant,” “you,” or “your”) and Gogo Grocer Inc. (“Gogo Grocer,” “we,” “us,” or “our”) and governs your access to and use of the Gogo Grocer platform (the “Platform”), including the merchant portal, mobile tools, and related services for selling grocery and household goods.

By signing up or using the Gogo Grocer Platform as a merchant, you agree to be bound by this Agreement.

 

1. Eligibility & Authorization

You represent that you are authorized to enter into this Agreement on behalf of the business or entity named in your registration. You must provide accurate and current business information and maintain the necessary licenses to sell food and goods in your jurisdiction.

 

2. Platform Services

Gogo Grocer provides Merchants with the following services:

Product listing, catalog management, and pricing tools

Order processing and logistics coordination

Customer communication and support integration

Payment collection and disbursement

Optional marketing and community outreach services

Gogo Grocer reserves the right to update or modify these services at any time.

 

3. Merchant Responsibilities

You agree to:

Accurately list product availability, descriptions, pricing, and compliance (e.g., kosher or SNAP-eligible labeling)

Fulfill and package orders promptly, accurately, and hygienically

Adhere to food safety regulations and applicable laws

Maintain a professional level of customer service

Comply with applicable EBT/SNAP rules (if offering these services through Gogo Grocer)

 

4. Payments & Fees

Gogo Grocer will process customer payments and remit the merchant’s share of proceeds on a regular payment schedule (e.g., weekly or biweekly).

Gogo Grocer may deduct platform service fees, transaction fees, and any agreed-upon commissions.

Full fee structures will be outlined in your onboarding documents or addendums.

 

5. Term & Termination

This Agreement will remain in effect unless terminated by either party.

Either party may terminate:

With 14 days’ written notice

Immediately for cause, including material breach of this Agreement, unlawful behavior, or harm to Gogo Grocer’s brand or users

Upon termination, any outstanding payments will be settled in accordance with the last applicable billing cycle.

 

6. Intellectual Property

Gogo Grocer retains all rights to its platform, trademarks, technology, and content.

Merchants retain ownership of their brand names, product data, and imagery, but grant Gogo Grocer a limited license to use this information for marketing, operations, and order fulfillment purposes.

 

7. Data & Confidentiality

Each party agrees to keep confidential any proprietary or non-public information exchanged in the course of doing business, including but not limited to customer data, pricing terms, and technology systems.

 

8. Warranties & Disclaimers

You represent that:

Your products are legally sold and safe for consumption/use.

You have all necessary permits, certifications, and rights to operate as a merchant.

Gogo Grocer provides the Platform “as is” and makes no warranties beyond what is explicitly stated.

 

9. Liability & Indemnity

You agree to indemnify, defend, and hold harmless Gogo Grocer from any claims, damages, or liabilities arising from:

Product defects or recalls

Regulatory violations

Breaches of this Agreement

Customer complaints or injuries related to your products

Gogo Grocer’s total liability shall not exceed the total fees paid to you in the last 60 days.

 

10. Governing Law & Dispute Resolution

This Agreement shall be governed by the laws of the State of [Insert State]. Any disputes will be resolved through arbitration or small claims court unless otherwise mutually agreed in writing.

 

11. Amendments

Gogo Grocer may amend this Agreement by providing notice through email or via the merchant portal. Continued use of the Platform constitutes acceptance of the updated terms.

 

12. Entire Agreement

This Agreement constitutes the full and exclusive understanding between you and Gogo Grocer regarding your participation as a merchant and supersedes any prior agreements or understandings.
